The Competition Council announced on Monday that it is analyzing the deal by which Biovet Distribution SRL wants to acquire Montero Vet SRL, a company that sells pharmaceutical and non-pharmaceutical products for animals.

The buyer, Biovet Distribution SRL, is engaged in the wholesale distribution of veterinary goods and animal care products, especially dog ​​and cat food, respectively nutritional supplements, writes Mirsanu.ro.

Biovet Distribution is controlled by the family of entrepreneur Ferenc Korponaj, who sold the business in two stages to US strategic investor Henry Shane – a company with a market capitalization of more than $10 billion on the US stock market, according to information published in transaction log Mirsanu .US

This time, the Corponai family intends to buy the entire stake in Montero Vet SRL in a deal valued at less than 10 million euros, according to market sources. The parties to the agreement have not yet confirmed the information.

The company Montero Vet SRL is controlled by about 60% of the family of Ludovic Nazarius Glavina, the honorary consul of Romania in Koper (Slovenia), another package of about 40% belongs to the family of Cristian Susma, who holds the position of CEO of the company, according to the latest available information.

“According to the provisions of the Law on Competition (No. 21/1996), this operation must be authorized by the Competition Council, which will evaluate the operation in order to establish its compatibility with the normal competitive environment and issue a decision within the time period provided by the law,” – say representatives of the Competition Council

Montero Vet SRL was founded in 1999. In 2022, it reported a turnover of more than 47 million lei (almost 10 million euros), which has doubled in the past 7 years, and a net profit of more than 3 million lei (0.6 million euros), the company’s latest public balance sheet shows.

Slovene Ludovik Hăltei Glavina, 77 years old, has been working in the Romanian market for several years, his name is associated with the founding of the Romanian-Slovenian drug distribution business Montero together with the Radu Tudorake family, which later took control of the company.

The family of Ludovica Hlavina currently has in its portfolio premium wines and olive oil under the Santomas brand, produced on an area of ​​about 25 hectares of vines and almost 7 hectares of olive plantations in the area of ​​Smarije, part of the municipality of Koper on the Adriatic coast, where Romania discovered one of the two consulates on the territory of Slovenia.

On the other hand, Ferenc Korponaj’s family also owns assets in areas such as renting office space or warehouses or raising animals and crops, according to Competition Council officials. In 2022, the Korponai family sold the Dachim business to ROCA Agri RDF, the agricultural holding of the ROCA investment group.

The family office of the Korponai family, Vetimex Capital, is one of the investors and shareholders of the local capital platform ROCA Investments, the cited source also reported.
